"联营企业"

"联营企业"或"联营公司"（associate）主要是一个会计词汇。

对于"股权投资"（equity investments）的会计处理，国际财务会计实践中有两种做法：

子公司（subsidiary）纳入合并报表；

合营企业（joint venture）或联营企业（associate）的投资采用权益法（equity method）核算

"联营企业"是指对其决策有重大影响（significant influence）的企业。

一般来说，持有20-50%的表决权益，即认定为"联营企业"。

财会英语中的"联营企业"一般用"associate"表述。

实践中还有"affiliate"、"associated company"、"associate company"或"affiliated company"的用法。

中国法下也存在"联营企业"的规定。不过此"联营企业"是一个法律概念，大致与相当于前述三类实体的总和：

…子公司、合营企业、联营企业的概念之和基本上与民法中的联营企业法人的概念相似。

"关联公司"

"关联公司"或"关联企业"主要是一个法律词汇。

英文中主要使用以下表述：

associate；

affiliate；

associated company；

associate company；

affiliated company；

related company；

connected company

总体而言，"关联公司"大体是以"子公司"、"合营企业"以及"联营企业"为中心展开，但在此基础上进行取舍或延伸。

这三类实体受控制和影响的程度不同，亲疏远近的关系有别。

具体定义中，可以视需要将其纳入或排除出"关联公司"的范围。

最直接的方法就是借用会计上的"联营企业"。

"control"

此外，实务中常见的是以"控制"（control）为中心的"关联公司"定义模式，例如：

A company is an "associated company" of another…if…(a) one of the two has control of the other or (b) both are under the control of the same person or persons…

这种定义模式涵盖三个层次：

控制的公司、被控制的公司以及受共同控制之下的公司。

上例的"control"大致是指类似于母公司对子公司的控制关系：

In a simple case...any person or persons who own more than 50% of the shares will "control" the company.

实践中的"control"的含义也可能会有所扩张。

下例中，除母子公司控制关系外，还大致包括以"合营企业"和"联营企业"为连接形成的上下控制关系：

Any person who owns...more than 25 per centum of the voting securities of a company shall be presumed to control such company.

此处的"25%"略高于"20%"的联营企业标准，但仍可看出"control"是以前述三类实体为基础进行界定的。

"单向概念" or "双向概念"?

"联营企业"是一个单向概念。

举例来说，A公司持有B公司30%的股份，B公司是A公司的"联营企业"；

但反过来，A公司不构成B公司的"联营企业"。

"联营企业"型"关联公司"是典型的单向概念。

围绕"control"进行定义的"关联公司"是最典型的双向概念。

"控制方"与"被控制方"以及受到"共同控制"（common control）的双方，均互为"关联公司"。

"关联方"

"关联方"包括个人和实体，范围要比"关联公司"更广泛。

对于"关联方"，美国证券法下使用了"affiliate"与"associate"这两个概念。

affiliate

An "affiliate"…is a person that…controls, or is controlled by, or is under common control with, the person specified.

associate

(1) an officer or partner or…the beneficial owner of 10 percent or more of any class of equity securities, (2) any trust or other estate…(3) any relative or spouse…or any relative of such spouse…

在英美法系的法律和合同中，"关联方"主要采用"affiliate"与"associate"表述。

根据目的的不同，这两个词的具体定义范围宽窄不一。

总的来说，"affiliate"主要涉及控制关系，也会涉及非控股性的持股关系，持股比例范围不一；

而"associate"还会涉及身份、信托或亲属等关系。

在关联交易的语境下，"关联方"还有"related party"、"connected party"或"connected person"的用法。
